These terms govern your use of the Arechs website. By accessing the site you agree to these terms. Engagements with any Arechs subsidiary are governed by separately executed agreements.
1. Definitions
"Affiliate" means any entity directly or indirectly controlling, controlled by or under common control with the relevant Arechs Group entity.
"Arechs" means the trade name, brand identity or business identifier used in relation to the Group and does not, unless expressly stated otherwise, constitute a separate legal entity.
"Company" means the relevant Arechs Group entity, the owner and operator of this website.
"Content" includes all information available on this website, including text, graphics, artwork, logos, photographs, videos, product catalogues, brochures, technical literature, specifications, Safety Data Sheets, product information, trademarks, software, source code, downloadable documents, databases, audio, animations, and every other form of content.
"Group Company" means every company belonging to the Arechs Group, including present and future subsidiaries, affiliates, associate companies or companies under common management.
"User" means every person accessing or using this website.
"Website" means www.arechs.in together with every webpage, sub-domain, mobile version, application and future extension of it.
2. Website ownership
This website is owned and operated exclusively by the relevant Arechs Group entity on behalf of the Arechs Group.
The website may contain information relating to several independent legal entities forming part of the Arechs Group. Nothing on this website creates a separate legal entity under the name "Arechs" — that name is merely a business identity used for convenience.
3. Corporate structure disclaimer
Each Group company is an independent legal entity incorporated under applicable law. Nothing on this website creates a partnership, an association of persons, or a joint venture; makes one Group company the agent of another; creates joint and several liability among Group companies; or makes one Group company responsible for the debts, liabilities, warranties or obligations of another.
Every contract entered into by a Group company binds only that entity unless expressly agreed in writing. Any reference on this website to the Group, its businesses, products or operations is for convenience only and does not affect the separate corporate identity of each Group company.
4. Acceptance of terms
By using this website you confirm that you are legally competent to enter into binding obligations, that you will comply with these terms and all applicable laws, and that you will not use the website for any unlawful purpose. Continued use of the website constitutes unconditional acceptance of these terms as amended from time to time.
5. Purpose of website
This website is intended solely to provide general corporate and commercial information about the Group's businesses. Nothing on it constitutes a quotation, offer, invitation to offer, acceptance, or any form of technical, engineering, legal, investment or other professional advice, representation, warranty, guarantee, contractual commitment or product certification.
No legally binding obligation arises merely because information appears on this website. Commercial relationships arise only through separate written agreements executed by the relevant Group company.
6. Eligibility
This website is intended only for persons capable of entering legally binding contracts. Users below the age of eighteen, or otherwise incapable of contracting under applicable law, should use the website only under the supervision of a parent or lawful guardian. We reserve the right to deny access to any person without assigning any reason.
7. Permitted use
Subject to these terms, users may browse this website, download publicly available brochures for personal informational use, contact us, submit enquiries, access publicly available product information, and view news, publications and announcements. No other rights are granted.
8. Prohibited use
Without our prior written permission, users shall not copy, reproduce or commercially exploit this website or its content; create derivative works from it; reverse engineer or decompile it; scrape it with automated tools, bots or artificial-intelligence systems to extract content or datasets; mirror it; interfere with its security; upload malicious software, viruses, worms, Trojan horses or ransomware; conduct penetration testing; overload our servers or otherwise interfere with normal operations; impersonate any person or misrepresent affiliation with us; use the website for fraudulent purposes; collect other users' personal information or harvest email addresses; or use the website in violation of applicable law.
Any such activity may result in immediate suspension of access and may attract civil and criminal proceedings.
9. No offer, no contract
Nothing on this website constitutes an offer capable of acceptance, creates any contractual relationship, or varies, amends or waives any existing agreement, purchase order or terms of sale. Only a written agreement executed by authorized representatives of the relevant Group company creates binding obligations, and in case of inconsistency between this website and any executed agreement, the executed agreement prevails.
10. No reliance
By using this website you acknowledge that you have not relied on any representation appearing on it in entering into any transaction, that you will independently verify all information before acting on it, that commercial decisions are taken at your own risk, and that we are not liable for reliance placed on information from this website. No statement on this website creates any express or implied warranty unless specifically incorporated into a written contract executed by the relevant Group company.
11. Product information and specifications
This website may contain information regarding products manufactured, marketed, distributed or supplied by one or more Arechs Group companies. Unless expressly stated otherwise in a written agreement executed by the relevant Group company, all product information on this site — descriptions, technical specifications, brochures, catalogues, product literature, process descriptions, photographs, illustrations, application notes, performance characteristics and quality standards — is indicative only and provided solely for general informational purposes.
Product specifications may be revised, updated, modified or discontinued without prior notice. The specifications actually applicable to any product are governed exclusively by the executed contract, the purchase order accepted by the relevant Group company, the applicable technical specification, the Certificate of Analysis (CoA), the Safety Data Sheet (SDS), batch-specific quality documents, and any other written document expressly issued by the relevant Group company. Any discrepancy between this website and such contractual documentation is resolved in favor of the contractual documentation.
Nothing on this website constitutes a guarantee of purity, composition, performance, compatibility, yield, productivity, shelf life, regulatory approval, suitability for a particular purpose, or merchantability.
12. Technical information disclaimer
This site may include technical articles, application notes, processing guidelines, handling recommendations, formulation suggestions or similar technical information. Such information represents general industry guidance only and does not constitute engineering advice, consultancy services or professional recommendations.
Users must independently evaluate the suitability of every product for their intended application. Laboratory testing, pilot trials and validation remain the sole responsibility of the user. We are not liable for any loss arising from reliance on technical information published on this website.
13. Regulatory and chemical safety disclaimer
Chemical products are subject to varying regulatory requirements across jurisdictions. Nothing on this website confirms that any product complies with local environmental, occupational safety, pharmaceutical, food safety, cosmetics, or hazardous-substances laws, import or export regulations, or any other statutory requirement applicable in the user's jurisdiction.
Users are solely responsible for ensuring compliance with all applicable laws before manufacturing, importing, exporting, storing, handling, transporting, processing or using any product, and for obtaining all approvals, licenses, registrations and governmental permissions required by applicable law. We do not undertake to monitor changes in foreign regulatory requirements or to notify users of such changes.
14. Product application and performance disclaimer
Product performance depends on numerous factors beyond our control, including manufacturing process, equipment, operating conditions, environmental conditions, storage, transportation, formulation, handling practices, quality control and end-use application. Accordingly, we make no representation or warranty regarding actual performance in any specific process or application.
Users must carry out adequate testing and validation before commercial production. We are not responsible for production losses, process failures, contamination, equipment damage or customer claims arising from product use.
15. No professional advice
Nothing on this website constitutes legal, tax, accounting, engineering, environmental, medical, pharmaceutical, investment or any other professional advice. Users should consult appropriately qualified professionals before acting on any information appearing on this website.
16. Intellectual property rights
Unless expressly stated otherwise, this website and all content on it are owned by the relevant Arechs Group entity, including — without limitation — trademarks, service marks, logos, trade names, domain names, product names, copyrighted material, databases, brochures, catalogues, technical literature, process descriptions, product photographs, graphics, website design, layouts, source code, object code, software, videos, downloadable documents and compilations.
No license, assignment or transfer of intellectual property rights is granted merely by accessing this website. Users acquire only a limited, revocable, non-exclusive right to view the website for personal and lawful purposes.
17. Restrictions on copying and use
Except with our prior written consent, users shall not reproduce, distribute, modify, publish, translate or commercially exploit any content on this website; create derivative works from it; use photographs in advertising; copy technical literature or catalogues; incorporate content into any database; use content to train artificial-intelligence systems; scrape, crawl or harvest data using automated tools; create mirror websites; or remove copyright notices or proprietary legends. We reserve all rights not expressly granted.
18. Trademarks
"Arechs" and all associated logos, device marks, trade names and branding elements are proprietary to the relevant Arechs Group entity, whether or not registered. Users shall not use, register or adopt any trademark, business name, domain name or social-media identifier that is identical or confusingly similar to any of our marks. Nothing on this website grants any license to use our trademarks. Third-party trademarks appearing on this website remain the property of their respective owners and are used solely for identification purposes.
19. User submissions
Any enquiry, feedback, suggestion, idea, proposal, comment or other material voluntarily submitted through this website is not regarded as confidential unless expressly agreed in writing. We may use such submissions to improve our products, services or website without any obligation to compensate the user.
Users warrant that they hold all necessary rights in any material they submit and that it does not infringe the rights of any third party, and shall not upload or transmit unlawful, defamatory, obscene, fraudulent, infringing or malicious content.
20. Third-party websites and external links
This website may link to third-party websites solely for users' convenience. Such links do not constitute endorsement, sponsorship, approval or recommendation by us. We have no control over, and assume no responsibility for, the content, availability, accuracy, security, privacy practices or legality of any third-party website. Users access external websites entirely at their own risk, and any dealings with third-party providers are solely between the user and that third party.
21. Privacy, personal data and cookies
Use of this website is also governed by our Privacy Policy, which forms an integral part of these terms; in the event of any inconsistency between these terms and the Privacy Policy in relation to the collection or processing of personal information, the Privacy Policy prevails.
We may collect information including name, company name, designation, address, email address, telephone number, country, IP address, browser and device information, pages visited, enquiry details, download history, communication preferences, cookies and analytics information, and any other information voluntarily submitted. This information may be used to respond to enquiries, provide requested information, improve the website, support products, conduct business analytics, comply with legal obligations, prevent fraud, maintain cyber security, send marketing communications where permitted, manage customer relationships, and protect our legitimate business interests.
Where necessary, personal information may be processed or transferred to Group companies, service providers or business partners located outside the user's country, subject to applicable law. This website may use cookies and similar technologies for authentication, security, remembering preferences, measuring traffic, analytics and improving functionality; users may disable cookies through browser settings, though some features may not function properly as a result. By continuing to use this website, users consent to the processing of their information in accordance with the Privacy Policy.
22. Cybersecurity and acceptable use
Users shall not undertake any activity intended to compromise the confidentiality, integrity or availability of this website, including attempting unauthorized access, bypassing authentication, exploiting security vulnerabilities, conducting penetration testing or port scans, introducing malware or ransomware, deploying bots, performing denial-of-service attacks, interfering with server operations, intercepting communications, harvesting credentials, impersonating users, interfering with logging systems, manipulating website functionality, attempting privilege escalation, circumventing security measures, or introducing malicious scripts.
We may monitor website usage for security, fraud detection, system integrity, regulatory compliance, incident investigation and performance optimization, though nothing here obliges us to do so. Anyone discovering a security vulnerability must notify us immediately and must not publicly disclose it without our prior written consent.
23. Electronic communications
By communicating through this website or by email, users agree that communications may occur electronically. Submitting an enquiry, purchase request or contact form does not create a contract, constitute legal notice, amount to acceptance by us, or create any obligation to respond. Only communications issued by an authorized representative of the relevant Arechs Group company bind that company.
24. Disclaimer of warranties
To the fullest extent permitted by law, this website and all its content are provided on an "as is", "as available" and "with all faults" basis. We expressly disclaim all warranties, whether express, implied, statutory or otherwise, including as to merchantability, fitness for a particular purpose, uninterrupted access, availability, compatibility, title, non-infringement, accuracy, completeness, reliability, timeliness, security, absence of viruses, freedom from malware, continuous operation, error-free operation, or suitability for commercial use.
We do not warrant that defects will be corrected, that our servers are free of viruses, that downloads are secure, or that the website's functions will always remain available. Users assume all risks associated with using this website.
25. Limitation of liability
To the fullest extent permitted by applicable law, neither the relevant Arechs Group entity, any Arechs Group company, nor their respective directors, officers, employees, consultants, agents or representatives will be liable for any indirect, consequential, incidental, exemplary, punitive or special damages, or for economic loss, loss of profits, loss of anticipated savings, loss of goodwill or reputation, business interruption, loss of production, plant shutdown, loss of contracts, opportunity or customers, corruption of data, cyber incidents, system failures, procurement of substitute products, regulatory penalties, third-party claims, or any similar commercial losses — whether arising in contract, tort (including negligence), strict liability, statutory liability or otherwise, even if advised of the possibility of such damages.
26. Liability cap
the relevant Arechs Group entity shall have no monetary liability whatsoever arising from the use of this website, except where such exclusion is prohibited by applicable law.
27. User indemnity
The user agrees to indemnify, defend and hold harmless the relevant Arechs Group entity, every Arechs Group company, and their respective directors, officers, shareholders, employees, consultants, agents and representatives from and against every claim, demand, proceeding, liability, damage, loss, penalty, fine, expense and cost (including reasonable legal fees) arising out of or relating to a breach of these terms, violation of law, infringement of intellectual property rights, misuse of the website, negligent acts or omissions, fraudulent conduct, regulatory violations, or claims brought by third parties arising from the user's conduct. These obligations survive termination of website access.
28. Export control, sanctions and trade compliance
Users acknowledge that products and technologies referred to on this website may be subject to export control laws, customs regulations, sanctions regimes and other trade compliance requirements, and shall comply with all applicable export control laws, customs regulations, economic sanctions, anti-boycott laws, import restrictions, anti-money-laundering requirements and anti-corruption laws.
We reserve the right to refuse any enquiry, transaction or engagement that may expose us or any Arechs Group company to sanctions, export control restrictions or legal non-compliance. Nothing on this website is an offer to supply products where such supply would violate applicable law.
29. Anti-bribery, ethics and fair competition
Users interacting with us shall comply with all applicable anti-bribery, anti-corruption and competition laws, and shall not offer or accept unlawful inducements, engage in corrupt practices, improperly seek confidential competitor information, misuse this website for anti-competitive conduct, or submit false information. We reserve the right to discontinue communications or commercial discussions where we reasonably believe unlawful or unethical conduct has occurred.
30. Reservation of rights, suspension and termination
We reserve the right, without prior notice and without incurring any liability, to modify this website, suspend or discontinue any feature, remove or amend content, refuse access to any user, block IP addresses, investigate suspected misuse, report unlawful activity to competent authorities, preserve logs and electronic records for investigation or legal compliance, and take civil or criminal action to protect our rights.
We may suspend or terminate access immediately where we reasonably believe a user has breached these terms or applicable law. Termination of access does not affect any accrued rights or obligations of either party.
31. Force majeure
We are not liable for any delay, interruption, suspension, inaccessibility or failure in the operation of this website resulting directly or indirectly from events beyond our reasonable control, including natural disasters, earthquakes, floods, fire, cyclone, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, governmental action, court orders, sanctions, power or internet or telecommunications failures, cyber attacks, ransomware or denial-of-service attacks, hardware or software failures, cloud service interruptions, failures of third-party service providers, or any other event beyond our reasonable control. We have no liability for the unavailability of the website during any such event.
32. Modifications to the website
We reserve the unrestricted right, at any time and without notice, to modify or redesign this website, discontinue any page or product information, withdraw downloadable documents, introduce new functionality, remove any content, suspend services, or permanently discontinue the website, and we are not liable for any consequence of doing so.
33. Changes to these terms
We may amend these terms at any time. The revised terms become effective immediately upon publication on this website unless otherwise specified, and continued use of the website after publication of revised terms constitutes acceptance of them. Users are encouraged to review these terms periodically.
34. Governing law
These terms are governed by the laws of the Republic of India.
35. Jurisdiction
Subject to the dispute-resolution process in the next clause, the courts having territorial jurisdiction over the relevant Arechs Group entity's registered office in Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising out of or relating to these terms or your use of this website — though we may still bring proceedings before any competent court or authority where necessary to enforce our intellectual property, confidential information, contractual or statutory rights.
36. Dispute resolution
The parties will first try to resolve any dispute amicably through discussion. If a dispute is not resolved within thirty (30) days, we may refer it to arbitration under the Arbitration and Conciliation Act, 1996, as amended, with the seat and venue of arbitration in Mumbai, Maharashtra (unless we determine otherwise in writing) and proceedings conducted in English. The arbitral award is final and binding.
37. Severability
If any provision of these terms is held invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, that provision is deemed severed only to the extent of the invalidity, and the remaining provisions continue in full force and effect.
38. Waiver
No failure, delay or omission by us in exercising any right, remedy or power constitutes a waiver of it. A waiver is effective only if made in writing by our authorized representative, and a waiver of one breach does not waive any subsequent breach.
39. Assignment
Users may not assign or transfer any rights under these terms. We may assign, novate or transfer our rights and obligations to any Arechs Group company, successor entity, purchaser of the business, or affiliate, without users' consent.
40. Survival
Provisions relating to intellectual property, confidentiality, disclaimer of warranties, limitation of liability, user indemnity, export controls, governing law, jurisdiction, dispute resolution, waiver and survival — and any other provision intended by its nature to survive — continue after termination of website use.
41. Entire agreement
These terms, together with the Privacy Policy and any other legal notices expressly incorporated by reference, constitute the entire agreement between us and the user regarding use of this website, and supersede all prior understandings, communications and representations relating to it.
42. No partnership or agency
Nothing in these terms or on this website creates a partnership, agency, franchise, employment, fiduciary relationship or joint venture between us and any user. No user may represent that they have authority to bind us or any Arechs Group company.
