26. Liability cap

the relevant Arechs Group entity shall have no monetary liability whatsoever arising from the use of this website, except where such exclusion is prohibited by applicable law.

27. User indemnity

The user agrees to indemnify, defend and hold harmless the relevant Arechs Group entity, every Arechs Group company, and their respective directors, officers, shareholders, employees, consultants, agents and representatives from and against every claim, demand, proceeding, liability, damage, loss, penalty, fine, expense and cost (including reasonable legal fees) arising out of or relating to a breach of these terms, violation of law, infringement of intellectual property rights, misuse of the website, negligent acts or omissions, fraudulent conduct, regulatory violations, or claims brought by third parties arising from the user's conduct. Subject to the dispute-resolution process in the next clause, the courts having territorial jurisdiction over the relevant Arechs Group entity's registered office in Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising out of or relating to these terms or your use of this website — though we may still bring proceedings before any competent court or authority where necessary to enforce our intellectual property, confidential information, contractual or statutory rights.

36. Dispute resolution

The parties will first try to resolve any dispute amicably through discussion. If a dispute is not resolved within thirty (30) days, we may refer it to arbitration under the Arbitration and Conciliation Act, 1996, as amended, with the seat and venue of arbitration in Mumbai, Maharashtra (unless we determine otherwise in writing) and proceedings conducted in English. The arbitral award is final and binding.

37. Severability

If any provision of these terms is held invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, that provision is deemed severed only to the extent of the invalidity, and the remaining provisions continue in full force and effect.

38. Waiver

No failure, delay or omission by us in exercising any right, remedy or power constitutes a waiver of it. A waiver is effective only if made in writing by our authorized representative, and a waiver of one breach does not waive any subsequent breach.

39. Assignment

Users may not assign or transfer any rights under these terms. We may assign, novate or transfer our rights and obligations to any Arechs Group company, successor entity, purchaser of the business, or affiliate, without users' consent.

40. Survival

Provisions relating to intellectual property, confidentiality, disclaimer of warranties, limitation of liability, user indemnity, export controls, governing law, jurisdiction, dispute resolution, waiver and survival — and any other provision intended by its nature to survive — continue after termination of website use.

These terms, together with the Privacy Policy and any other legal notices expressly incorporated by reference, constitute the entire agreement between us and the user regarding use of this website, and supersede all prior understandings, communications and representations relating to it.

42. No partnership or agency
